ALL COMPETITIONS ARE OPEN TO LEGAL RESIDENTS OF THE FIFTY (50) UNITED STATES (INCLUDING THE DISTRICT OF COLUMBIA) OR CANADA (EXCLUDING QUEBEC) WHO ARE AT LEAST 18 YEARS OF AGE OR OLDER ON THE DATE OF ENTRY AND ARE ELIGIBLE IN ACCORDANCE WITH THESE OFFICIAL RULES. VOID IN ALL OTHER JURISDICTIONS AND WHERE PROHIBITED BY LAW. IF YOU ARE NOT A LEGAL RESIDENT OF ONE OF THESE JURISDICTIONS OR DO NOT MEET THE ELIGIBILITY REQUIREMENTS, PLEASE DO NOT ENTER THIS COMPETITION, AS YOU ARE NOT ELIGIBLE.

 

Competitions (the "Competition") provide a chance for eligible Performers to create a profile and compete in a live performance showcase. 

 

Entry in the Competition is only open to Performers (defined below) comprised of entrants at least 18 years of age at time of entry who are legal residents of the fifty (50) United States (including the District of Columbia) or Canada (excluding the province of Quebec) (the "Competition Territory") and who are eligible in accordance with the other conditions in these Official Rules. For purposes of the Official Rules, a "Performer" is a musical performer comprised solely of one or more individuals who are legal residents of the Competition Territory. The term "Entrant" refers to a Performer  LIMIT ONE ENTRY IN THE COMPETITION PER ENTRANT. An individual is permitted to participate as a Performer Member in only one Performer’s entry into the Competition. Performers who are presently or at any time since November 1, 2010 have: (i) been a party to a recording agreement with a Major Label, or (ii) had a recording released by a Major Label are not eligible to participate in the Competition. Performers who have ever released a recording on a Major Label are not eligible to participate in the Competition. The term "Major Label" means EMI, Sony BMG, Universal Music Group and Warner Music Group and any of their affiliates or subsidiaries.

 

Employees, officers or directors of any companies that are listed as Sponsors of the Competition, its affiliates, subsidiaries, advertising and promotional agencies or anyone involved in the Competition development or execution, and the immediate family members or household members of such persons are not eligible to enter this Competition.

During the registration process the Entrant will be required to set-up a free account with CompetitionAlley including submitting a bio and photo. A confirmation email will be sent to the Performer’s Contact Person when registration is complete.

If any Entrant in the sole discretion of CompetitionAlley is suspected of submitting more than one entry by any means, including but not limited to establishing multiple e-mail accounts, such Entrant may be disqualified from participation in this Competition. It is the sole responsibility of the entrant to notify the CompetitionAlley in writing if his or her e-mail or postal address during the Competition.

Each Song Submission must:

Be the original work, written, composed, recorded and performed by the Performer registered on the Competition Website, over which the Entrants have all necessary rights, title and interest, including copyright;

Contain music and vocals and not exceed five (5) minutes in length;

Not infringe upon the intellectual property rights, or defame or invade the publicity or privacy rights, of any third party, living or deceased;

Not contain the brand names, trade names, trademarks, copyrights or material that is not exclusively owned and controlled by Entrants;

Be suitable for family audiences. Without limitation, Submissions (including titles, user names and Performer names) may not contain any words or other content that: is indecent, obscene, hateful, tortious, defamatory, slanderous or libelous; promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation or age; includes trademarks or copyrights or material not exclusively owned by Entrants; contains profanity or sexual content; promotes alcohol, illegal drugs, tobacco, firearms or weapons; includes the names, likenesses, or other identifying elements of any person other than Entrants without express written permission; and must not contain material that is unlawful, in violation of or contrary to the laws or regulations of the United States or Canada.

Not contain any material that promotes any product or service or otherwise contains commercial messages or endorsements; and

Be from a correctly identified source. Entrants may not create a false identity, or impersonate any person or entity, or falsely state or otherwise misrepresent an affiliation with any person or entity.

CompetitionAlley reserves the right to review and/or edit and/or remove any Submission deemed by CompetitionAlley, in its sole discretion, to be inappropriate, offensive, disparaging, unlawful, harmful, violative of the Official Rules, or otherwise unacceptable to CompetitionAlley. Should CompetitionAlley edit and/or remove any such Submission, Entrants are not relieved from responsibility for compliance with these Official Rules. As used in the Official Rules, "Submission" includes all materials, recordings, information, content and performances (including, without limitation, recordings, musical compositions, performances, information, bios, and photos) provided in connection with the Competition (including, without limitation, the Competition Site, and at the Live Performance Showcase).

Before Entrants will be able to register and submit a Submission, Entrants must expressly agree and consent to be bound by these Official Rules, the Privacy Policy of CompetitionAlley and that of the Competition Website. Use of the CompetitionAlley service is in accordance with the CompetitionAlley terms and conditions and privacy policy applicable to the CompetitionAlley.com website. If any Performer does not agree to these terms, please do not enter the Competition. CompetitionAlley may, at its sole discretion, remove, delete and/or disqualify any Submission it deems inappropriate or otherwise non-compliant with these Official Rules.

By submitting a Submission in connection with the Competition, Entrants represent and warrant to CompetitionAlley that the Submission is the original work of the Entrants and that Entrants have the sole right to submit it to the Competition;

the Submission and Performer name do not violate in any way rights of third parties, including but not limited to copyright and other intellectual property rights;

the Submission does not violate any applicable laws; (iv) Entrants have obtained all necessary licenses or permissions from all appropriate third parties required for the production and submission of the Submission in the Competition and use by CompetitionAlley as contemplated in these Official Rules;

the posting and/or display of the Submission or other use by CompetitionAlley or those deriving rights through CompetitionAlley will not violate the intellectual property rights or rights of publicity or rights of privacy of any third parties or otherwise breach any provision of any applicable law or regulation;

CompetitionAlley has Entrants’ irrevocable permission for the posting of Performer’s name and biographical information, Entrants’ names, and city state/province/territory of residence and any and all information included in the Submission in connection any permitted use of the Submission;

use and posting of the Submission or any part of the Submission provided in any manner in connection with the Competition or as otherwise permitted by these Official Rules is and will be without any further review, notice, approval, consideration or compensation, regardless of whether the Submission is a winning Submission; and

the recording submitted in the Competition has not been entered in or won previous competitions or awards. By submitting the Submission to CompetitionAlley  in connection with the Competition, Entrants agree to and hereby waive any and all moral rights that exist in the Submission and any derivative works made therefrom.

All Entrants hereby grant to CompetitionAlley an everlasting, royalty-free, assignable, irrevocable, license to use, utilize, replicate, alter, adapt, modify, publish, broadcast, translate, produce derivative works from, distribute, present, display, sublicense and exercise all copyright and other intellectual property and other rights with respect to each Submission worldwide and/or to include, in part or in whole, any Submission in other works in any media now known or later created, anywhere and forever, without further review, notice, approval, consideration or compensation. Except where legally prohibited, submission of a Submission into this Competition constitutes permission for CompetitionAlley to use the Entrant's name, address (city and state / province / territory) and Submission in print, electronic media, broadcast media or any now known or later created media, in perpetuity, in any manner CompetitionAlley deems appropriate in connection with promoting the Competition and CompetitionAlley’s business, products and services or any other purposes without further review, notice, approval, consideration or compensation.

In the event that an Entrant breaches any of his or her representations, warranties or undertakings to CompetitionAlley, CompetitionAlley shall be entitled to and may seek indemnification from Entrant for recovery of all legal fees, damages, claims and other expenses that may be incurred by CompetitionAlley or its affiliated entities as a result of such breach.

Winners will be selected through fan voting at the Competition Website and through voting at the live performance showcases. Voters will be limited to one vote per performer. Votes cast at the live performance showcase will count as 2-votes. All votes cast via the Website will count as 1-vote.

CompetitionAlley assumes no responsibility for any lost, late, misdirected, illegible or incomplete entries, or for any computer, software, online, telephonic, data entry or technological malfunctions regardless of cause, or any injury or damage to the participant’s or to any other person’s computer which may be related to or resulting from any attempt to participate in the Competition or upload or download any materials to or from the Competition. If for any reason the Competition is not capable of being conducted as contemplated in the Official Rules, including, without limitation, if due to computer virus, bugs, tampering, unauthorized intervention, fraud, or any other causes which may corrupt or affect the administration, security, fairness, integrity or proper conduct of this Competition or technical failures which compromise the administration or integrity of the Competition, CompetitionAlley, in its sole discretion, reserves the right to terminate or modify the Competition. All materials submitted in the Competition may be retained by CompetitionAlley. CompetitionAlley and Judges reserve the right to disqualify any Entrant who tampers with or attempts to tamper with the entry procedure or the Competition Website or violates these Official Rules. CompetitionAlley’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

This Competition is subject to the laws of the State of Georgia (without regard to choice of law rules) and of the United States. No cash or other substitution, assignment or transfer of any prize is permitted, except by CompetitionAlley, who reserves the right to substitute a prize or prize component with cash or another prize of comparable or greater value. All federal, state, and other tax liabilities arising from this Competition are the sole responsibility of the applicable winners. The prizes are not redeemable for cash. No more than the listed number of prizes will be awarded.

BY PARTICIPATING IN THE COMPETITION, ENTRANTS AGREE TO RELEASE AND HOLD HARMLESS COMPETITIONALLEY, ITS AFFILIATES, ADVERTISING AND PROMOTIONAL AGENCIES, AND THOSE INVOLVED IN THE PLANNING AND EXECUTION OF THE COMPETITION AND ITS AND THEIR OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS, AND THE JUDGES (THE "PROMOTION PARTIES") FROM AND AGAINST ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF PARTICIPATION IN ANY PART OF THE COMPETITION, (INCLUDING, WITHOUT LIMITATION, PREPARING FOR, PARTICIPATING IN OR TRAVELING TO AND/OR FROM ANY COMPETITION RELATED ACTIVITY) OR RECEIPT OR USE OF ANY PRIZE, INCLUDING PROPERTY DAMAGE, PERSONAL INJURY OR DEATH. EACH PARTICIPANT FURTHER AGREES THAT IN ANY CAUSE OF ACTION, THE PROMOTION PARTIES’ LIABILITY WILL BE LIMITED TO THE COST OF PARTICIPATING IN THE COMPETITION, AND IN NO EVENT SHALL THE PROMOTION PARTIES BE LIABLE FOR ATTORNEYS’ FEES, PUNITIVE, CONSEQUENTIAL, DIRECT OR INDIRECT DAMAGES AND EACH PARTICIPANT WAIVES THE RIGHT TO CLAIM ANY DAMAGES WHATSOEVER. THE RESPECTIVE WINNERS OF ANY PRIZE SHALL BEAR ALL RISK OF LOSS OR DAMAGE TO THE PRIZE AFTER IT HAS BEEN DELIVERED OR MADE AVAILABLE. THE CompetitionAlley MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND CONCERNING THE APPEARANCE, SAFETY, OR PERFORMANCE OF ANY PRIZE.

Except where prohibited, Entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Competition or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Northern District of Georgia or the appropriate State Court of the State of Georgia located in Atlanta, Georgia; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Competition, but in no event attorneys' fees; and (3) under no circumstances will Entrants be permitted to obtain awards for, and Entrants hereby waive all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Entrant and CompetitionAlley in connection with the Competition, shall be governed by, and construed in accordance with, the laws of the State of Georgia without giving effect to any choice of law or conflict of law rules (whether of the State of Georgia or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Georgia.

By entering into this Competition, entrants agree to be bound by these Official Rules and the decisions of the Judges and CompetitionAlley, which shall be final and binding in all respects. These Official Rules are accessible from the Competition Website throughout the Competition Period. Failure to comply with these Official Rules may result in disqualification. CompetitionAlley reserves the right at its sole discretion to disqualify any individual suspected of tampering with the entry process or the operation of the Competition; or to be acting in any manner deemed by CompetitionAlley to be in violation of the Official Rules; or to be acting in any manner deemed by CompetitionAlley to be unsportsmanlike or disruptive, or with intent to annoy, abuse, threaten or harass any other person. CAUTION: ANY ATTEMPT BY A USER OR ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE COMPETITION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, COMPETITIONALLEY RESERVES THE RIGHT TO SEEK DAMAGES AND COSTS (INCLUDING WITHOUT LIMITATION, ATTORNEYS’ FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.
